Sybari Files Registration Statement With The Securities And Exchange Commission For Initial Public Offering
East Northport, NY(May 17, 2004) Sybari Software, Inc. announced today that it has filed a registration statement with the Securities and Exchange Commission for a proposed initial public offering of its common stock.
Sybari is a global provider of antivirus, anti-spam and content filtering security software products. Sybari’s server-based products are used in electronic messaging and collaboration environments to protect organizations from viruses, spam and the transmission of other forms of inappropriate content.
The underwriters for the proposed offering will be SG Cowen & Co., LLC, acting as sole book-running manager, and Wachovia Capital Markets, LLC and Raymond James & Associates, Inc., acting as co-managers for the proposed offering.
The number of shares to be offered and the price range for the offering have not yet been determined. All of the shares will be issued and sold by Sybari. A non-employee stockholder of Sybari may sell shares of common stock to cover the underwriters’ over-allotments, if any.
A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
