VIGILANTe and Networks Vigilance Announce Merger
Leaders in Security Assessment Market Join Forces to Accelerate Growth and Advance Services
MELVILLE, NY — April 10, 2001 — VIGILANTe and Networks Vigilance, a subsidiary of Cyrano, have announced plans to combine their businesses, with the new company retaining the name VIGILANTe. The companies signed an agreement on March 31st and intend to merge no later than April 13th. The deal will create a global company with an array of security assessment solutions.
The combination of VIGILANTe and Networks Vigilance technology, products, services, and global partners will allow VIGILANTe to extend security assurance to the widest possible range of customers in North America, Europe and Asia. VIGILANTe will immediately combine the companies’ award-winning assessment methodologies to extend its services beyond the Internet to the IT infrastructure. Customers will benefit from automated real-time security risk analysis of both their internal and external networks.

According to the agreement, CYRANO, which currently owns 56.32 % of Networks Vigilance equity after the third round of financing for its subsidiary, will own approximately 11% and one seat on the board of the merged company. The combined company will have more than 160 employees. CYRANO will continue to be a strategic business partner of VIGILANTe.
